1. About these terms
These terms apply to all website design, development and maintenance services provided by Harbour Light Studio (ABN 55 917 721 616) (“we”, “us”, “our”) to you (“you”, “the client”). By accepting a quote, paying a deposit or asking us to begin work, you agree to these terms. If a written quote or proposal says something different, the quote takes priority for that project.
2. Packages and scope
Our standard packages are:
- Landing Page ($500): One page, Mobile responsive, Contact form, Live in days.
- Basic Website ($1,000): Up to 5 pages, Contact form, Basic SEO setup, Live in days.
- Large Website (Ask for a quote): Custom pages, E-commerce, Bookings, Integrations.
The scope of each project is what is listed in the package or your written quote. Anything outside that scope, such as extra pages, copywriting, custom functionality or third-party integrations, will be quoted separately before we start it. Quotes are valid for [30 days].
3. Payment terms
- A deposit of [50]% of the project price is payable before work starts. The balance is payable when you approve the demo site, before it is launched to your domain.
- Invoices are due within [7] days of issue unless otherwise stated.
- All prices are in Australian dollars. We are not registered for GST, so no GST is charged.
- If an invoice is overdue, we may pause work, delay launch or suspend hosting until it is paid. [Late fees, if any.]
- Third-party costs such as domain names, premium plugins, stock images or paid integrations are your responsibility unless included in your quote.
4. Timeframes
We aim to have Landing Pages and Basic Websites live within a few days of receiving your completed questionnaire, all content and the deposit. Timeframes are estimates, not guarantees. Delays in supplying content, feedback or approvals will extend the timeframe. If a project is paused by the client for more than [30 days], we may reschedule it and invoice for work completed.
5. Your content and responsibilities
- You will supply text, images, logos and other content in a timely manner and in a usable format.
- You confirm that you own, or have permission to use, all content you supply, and that it does not infringe anyone's rights or break any law.
- You are responsible for the accuracy of your content, including prices, claims and contact details, and for your website complying with laws that apply to your business (such as the Australian Consumer Law).
- You are responsible for keeping any login details we give you secure.
6. Revisions
Your package includes [2] rounds of revisions on the demo site. A round is one consolidated list of changes. Further rounds, or changes that go beyond the agreed scope (such as a new design direction), may be charged at [$X per hour] or quoted separately.
7. Approval and launch
Once you approve the demo and the balance is paid, we will deploy the website to your domain. You are responsible for checking the website before approving it. After launch, small fixes to anything that does not work as agreed are included for [14 days].
8. Ownership
Once all invoices for the project are paid in full, you own the finished website design and all content you supplied, and we will provide the website files on request. Until then, ownership remains with us.
We keep ownership of our pre-existing tools, code libraries and templates, and grant you a perpetual licence to use them as part of your website. Open-source components remain subject to their own licences. Your domain name is registered in your name. Unless you ask us not to, we may show your website in our portfolio.
9. Maintenance plan
Our optional maintenance plan costs [$X] per month and covers: hosting, security updates, daily backups, basic content updates. “Basic content updates” means small changes such as editing text, prices, opening hours or swapping images, up to [X minutes / X requests] per month. New pages, features or redesigns are quoted separately.
- The plan is billed monthly in advance [by direct debit / invoice].
- There is no minimum term [unless stated in your quote].
- You may cancel at any time by giving [30] days' written notice. On cancellation we will help you move your website to a new host and provide your files, provided all invoices are paid.
- We may change the plan price with [30 days'] written notice. You may cancel before the change takes effect.
- If the plan is not active, hosting, security updates and backups are your responsibility, and we are not liable for issues that arise from them.
10. Third-party services
Websites rely on third-party services such as hosting, domain registrars, form providers and analytics. We choose reputable providers but are not responsible for their outages, changes to their terms or pricing, or their acts or omissions.
11. Consumer guarantees
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded, including the consumer guarantees that services will be provided with due care and skill.
12. Limitation of liability
To the extent permitted by law, and subject to section 11: (a) our total liability arising out of or in connection with our services is limited to the amount you paid us for the services in the [12 months] before the claim arose, or, at our option, to supplying the services again; and (b) we are not liable for any indirect or consequential loss, including loss of profit, revenue, data or business opportunity.
13. Ending a project
Either party may end a project by written notice if the other materially breaches these terms and does not fix the breach within [14 days]. If a project ends early, you pay for work completed up to that point and the deposit is non-refundable [except where required by law].
14. Privacy
We handle personal information in accordance with our Privacy Policy.
15. Governing law
These terms are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
16. Changes to these terms
We may update these terms from time to time. The version on this page when you accept a quote applies to that project.
